The conditions under which you may use Pearl Ledger products and services.
These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you", "your") and Pearl Ledger Ltd ("Pearl Ledger", "we", "us"), a company operating from Nakasero, Kampala, Uganda.
By creating an account, downloading the Byangu POS application, or using any of our Services, you confirm that you have read, understood and agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to do so.
If you do not agree to these Terms, you may not use our Services.

We reserve the right to add, modify or discontinue features of the Services at any time. Where a change materially reduces functionality, we will provide at least 30 days' notice.
You must provide accurate and complete information when registering. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You must notify us immediately at info@pearlledgerltd.com if you suspect unauthorised access to your account.
Each subscription may only be used by the number of staff accounts permitted under your chosen plan. Creating more staff accounts than your plan allows is a breach of these Terms.
You must be at least 18 years old and have the legal capacity to enter into contracts in Uganda to use our Services.
Access to Byangu POS requires an active paid subscription or a valid free trial. We offer the following plan tiers:
Prices are quoted in Uganda Shillings and exclude VAT. Prices are subject to change with 30 days' notice. Annual billing options are available — contact us for a quote.
Subscription fees are billed monthly in advance. Payment is processed through Pesapal Limited, which supports MTN Mobile Money, Airtel Money, Visa and Mastercard.
Your subscription renews automatically each month unless you cancel before the renewal date. You may cancel at any time from within the application or by contacting us.
All payments are final and non-refundable, except where required by applicable Ugandan law or where Pearl Ledger has committed a material breach of these Terms.
If a payment fails, we will attempt to notify you. Access may be suspended if the overdue balance is not cleared within 7 days of notification.
You agree not to use the Services to:
We reserve the right to suspend or terminate accounts that violate this section without prior notice.
You retain full ownership of all business data you create using our Services, including sales records, product catalogues, customer data and staff information.
By using our Services, you grant Pearl Ledger a limited licence to host, store and process your data solely for the purpose of providing the Services to you. We do not use your business data for any other purpose.

All intellectual property rights in the Services — including the Byangu POS application, our backend software, website content, logos, and trademarks — are owned by Pearl Ledger Ltd or its licensors.
Nothing in these Terms grants you any rights to Pearl Ledger's intellectual property other than the limited licence to use the Services as described herein.
We aim to maintain 99% uptime for our cloud services, measured monthly. However, we do not guarantee uninterrupted availability and may carry out scheduled maintenance with advance notice.
Byangu POS is designed to function offline. Sales and inventory operations will continue on your device during outages; data will sync when connectivity is restored.
To the maximum extent permitted by Ugandan law, Pearl Ledger's total cumulative liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the three months preceding the claim.
We are not liable for indirect, incidental, special or consequential damages, including loss of profit, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes liability for fraud, death or personal injury caused by our negligence.
You may cancel your subscription at any time. Access to the Services will continue until the end of the current billing period.
Pearl Ledger may suspend or terminate your account immediately if you breach these Terms, fail to make payment, or if we are required to do so by law. We will endeavour to provide notice unless prohibited by law or the breach poses a risk to other customers or our systems.
Upon termination, your data will be retained for 90 days, after which it will be permanently deleted. You may export your data at any time before deletion by contacting us.
These Terms are governed by and construed in accordance with the laws of Uganda. Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be referred to the competent courts of Uganda.
